Privue – Website Terms of Use

These Terms of Use (“Terms”) govern your access to and use of Privue websites, web applications, APIs, and services that link to or reference these Terms (collectively, the “Site”). By accessing or using the Site, you agree to these Terms. If you are using the Site on behalf of a company or other legal entity, you represent that you are authorised to bind that entity, and “you” refers to that entity.

If you do not agree to these Terms, do not access or use the Site.

The Site is operated by NEXVUE TECHNOLOGIES PRIVATE LIMITED (doing business as Privue), having its registered office at:

Eligibility; business use

The Site is intended for business and professional use. You must:

  • Be at least the age of majority in your jurisdiction and capable of forming a binding contract.
  • Comply with all applicable laws, including financial-services, sanctions, export, and privacy laws.

Accounts and security

You may need an account to use certain features. You must:

  • Provide accurate information.
  • Keep your credentials confidential.
  • Promptly notify Privue of any unauthorised use.

You are responsible for all activities under your account.


Licence and acceptable use

Subject to these Terms, Privue grants you a limited, revocable, non-exclusive, non-transferable licence to access and use the Site for your internal business purposes.

You must not:

  • Copy, download, bulk-extract, scrape, harvest, or create datasets from the Site or its content (including via bots, spiders, or automated means) except as expressly permitted in a written agreement with Privue.
  • Resell, sublicense, publish, redistribute, or make the Site or its content available to third parties, except to your employees and contractors with a need to know and under obligations no less protective than these Terms.
  • Reverse engineer, decompile, or attempt to derive source code, models, or databases underlying the Site.
  • Remove or alter notices, attributions, or watermarks.
  • Use the Site to build a competing service, benchmark without permission, or to infringe, misappropriate, or violate rights of others.
  • Interfere with or disrupt the Site or bypass security or access controls.

Privue may monitor use for compliance, suspend access for suspected violations, and apply technical limits (for example, rate limits).


Content, data, and intellectual property

All content and materials on the Site—including data, databases, text, graphics, logos, icons, images, reports, analytics, software, and compilations (collectively, “Content”)—are owned by Privue or its licensors and protected by copyright, database right, and other intellectual-property laws.

Except for the licence above, no rights are granted, and all rights are reserved.

You may submit feedback, ideas, or suggestions (“Feedback”). Privue may use Feedback without restriction or obligation.


The Site may display or reference materials sourced from third parties (including public records, government registries, or commercial data providers) and may link to third-party websites.

Privue does not control and is not responsible for third-party materials or sites. Your use of them may be subject to separate terms.


Data accuracy; professional responsibility

Privue aggregates and curates information from multiple sources. Content may be incomplete, delayed, contain errors, or change without notice.

You are solely responsible for:

  • Evaluating fitness for your specific purpose.
  • Implementing appropriate checks and controls.
  • Making decisions.

The Site does not provide investment, legal, tax, accounting, or other professional advice. You should obtain advice from qualified professionals where appropriate.


Sanctions, KYC/AML and regulated use cases

Where Content may be used for sanctions, KYC/AML, vendor risk, underwriting, or credit-related assessments, you must:

  • Apply independent verification and your own risk criteria.
  • Comply with applicable regulations and regulator guidance.
  • Not portray Content as a credit rating or endorsement.
  • Acknowledge that absence of a match is not evidence of absence of risk.

Confidentiality

If you obtain non-public information from Privue (for example, via trial, beta, portal, API, or custom delivery), you must keep it confidential and use it only as permitted under these Terms or an applicable agreement.


Fees and subscriptions (if applicable)

Paid features, subscriptions, or APIs are subject to the pricing, term, and payment terms presented at purchase or in an order form.

  • Unless stated otherwise, fees are non-refundable.
  • We may suspend or terminate access for non-payment.

Privacy

Our collection and use of personal data via the Site is described in our Privacy Notice available at: [link to Privue Privacy Notice]

By using the Site, you acknowledge that we will process personal data as described there.


Export control and restricted parties

You represent that you are not located in, under the control of, or a national or resident of any country or on any list subject to sanctions or trade restrictions that would prohibit your use of the Site.

You will not export or re-export the Site or Content in violation of applicable laws.


Changes to the Site and Terms

We may modify or discontinue the Site (in whole or part) at any time. We may update these Terms by posting the revised Terms with an updated “Last updated” date or by providing notice through the Site. Changes are effective upon posting unless a later date is stated. Your continued use after changes constitutes acceptance.


Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, Privue AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AND LICENSORS (THE “Privue Parties”) DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, TIMELINESS, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE.


Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE Privue Parties WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY; OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.

SUBJECT TO THE FOREGOING, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE Privue Parties’ TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SITE, THE CONTENT, OR THESE TERMS WILL NOT EXCEED THE FEE ACTUALLY PAID BY YOU TO Privue FOR THE SPECIFIC INFORMATION OR CONTENT THAT DIRECTLY GAVE RISE TO THE CLAIM (FOR EXAMPLE, THE FEE FOR THE IDENTIFIED REPORT, DATASET, COMPANY PROFILE, OR API RESPONSE), EXCLUDING TAXES AND UNRELATED FEES. WHERE NO SEPARATE ITEMISED FEE WAS PAID FOR THAT SPECIFIC INFORMATION (SUCH AS ACCESS PROVIDED UNDER A SUBSCRIPTION), THE LIABILITY CAP WILL BE LIMITED TO THE PORTION OF THE SUBSCRIPTION FEE DIRECTLY ATTRIBUTABLE TO THAT INFORMATION BASED ON Privue’S THEN-CURRENT À LA CARTE PRICING FOR THE SAME OR COMPARABLE CONTENT.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.


Indemnity

You will defend, indemnify, and hold harmless the Privue Parties from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your use of the Site or Content;
  • Your breach of these Terms; or
  • Your violation of law or third-party rights.

Suspension and termination

We may suspend or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms, pose a risk, or for operational reasons. Upon termination, your licence ends and you must stop using the Site and, if requested, delete Content in your possession, except where retention is required by law or permitted under an applicable agreement.


Compliance review and audit

To verify compliance, Privue may review usage logs and, upon reasonable notice, audit your use of paid features or APIs during normal business hours. You will reasonably cooperate. If non-compliance is identified, you will promptly cure it and pay applicable fees.


Government users

Any use by government entities is with only those rights customarily provided to the public and subject to these Terms.


Governing law and dispute resolution

These Terms and any dispute, controversy, or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) are governed by the laws of India, without regard to conflict of laws principles.

The parties shall first attempt in good faith to resolve any dispute through negotiations for at least 30 days.

Arbitration. Any dispute not resolved by negotiation shall be finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The seat and venue of arbitration shall be New Delhi, India. The arbitration shall be conducted in English by a sole arbitrator appointed by mutual agreement of the parties, failing which the arbitrator shall be appointed in accordance with the Act (including by the Delhi International Arbitration Centre (DIAC), if applicable). The proceedings and award shall be confidential to the extent permitted by law. The arbitral award shall be final and binding on the parties.

Courts and interim relief. Subject to the agreement to arbitrate above, the courts in New Delhi, India shall have exclusive jurisdiction for (a) interim or conservatory relief, (b) appointment or substitution of the arbitrator, (c) assistance in taking evidence, (d) challenges to, or setting aside of, an arbitral award, and (e) recognition and enforcement of any award.


Miscellaneous

These Terms constitute the entire agreement between you and Privue regarding the Site, unless you have a separate signed agreement with Privue that expressly supersedes these Terms. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force. You may not assign or transfer your rights or obligations without our prior written consent; we may assign to an affiliate or in connection with a merger, acquisition, or sale of assets. No waiver is effective unless in writing. Headings are for convenience only.

Definitions

  • Content means any data, datasets, databases, reports, analytics, text, graphics, interfaces, software, and other materials made available on or through the Site.
  • Site means Privue websites, portals, applications, and APIs that link to these Terms.
  • You means the individual or entity that accesses or uses the Site.
